NOW, THEREFORE, for a good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Assignor does hereby assign to Assignee, Assignee's successors and assigns, all right, title, and interest throughout the world in and to the Trademark, together with all the goodwill of the business symbolized by the Trademark, together with the right to sue and collect damages and/or profits for past infringements of the Trademark, the intent being to substitute Assignee in the place of Assignor.

Assignor will execute and deliver to Assignee, at Assignee's expense, any and all documents requested by Assignee that may be required to perfect or record this Assignment.
